Alphamin Bisie Mining Approves Reduction of Share Capital to $21.7 Million

DRC’s Alphamin Bisie Mining Approves $86 Million Share Capital Reduction

Alphamin Bisie Mining SA, operator of the Bisie tin mine in North Kivu, has approved a significant reduction in its share capital, lowering the company’s capital from the equivalent of US$107.97 million to US$21.74 million.

The decision was approved unanimously at an Extraordinary General Meeting held on 3 September 2026.

According to the company’s notice, the capital reduction is not motivated by losses and will be implemented through a reduction in the nominal value of the company’s shares.

The nominal value of each share will fall from approximately US$293 to US$59, resulting in the revised share capital of US$21.74 million.

Creditors given 30 days to object

The capital reduction is subject to the applicable provisions of the Organisation for the Harmonisation of Business Law in Africa (OHADA) Uniform Act relating to commercial companies and economic interest groups.

Under the relevant provisions, Alphamin Bisie Mining’s creditors have 30 days from the publication of the notice to raise an objection to the proposed transaction.

The company has accordingly notified its creditors and other interested parties of the resolution.

Bisie remains a major tin operation

Alphamin Bisie Mining is the Democratic Republic of Congo-registered subsidiary through which Alphamin Resources operates its Bisie tin mine in North Kivu’s Walikale territory.

Alphamin Resources holds an indirect 84.14% interest in Alphamin Bisie Mining, while the remaining 15.86% is held by the DRC government and the Industrial Development Corporation of South Africa.

Bisie is one of the world’s significant high-grade tin operations and remains the core asset of Alphamin Resources.

The company has maintained strong production levels at the mine, with recent quarterly production reaching more than 5,000 tonnes of tin, while rolling four-quarter production has been around 20,000 tonnes.

Alphamin is also continuing exploration around Bisie, including drilling to test extensions of the Mpama North and Mpama South deposits and other targets across its licence areas.

The company expects to release an updated mineral resource and reserve estimate in the fourth quarter of 2026.

The capital restructuring therefore comes as Alphamin continues to operate and expand its flagship Bisie asset, supported by strong tin prices and ongoing exploration aimed at extending the mine’s resource base.
